By accessing or using the services of Shomxelliphax, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

Services

Shomxelliphax provides design and planning services for garden lighting and irrigation systems. Our services include:

• Lighting design concepts and planning
• Irrigation system layout and planning
• System zoning design
• Material and technology specifications
• Technical documentation

We provide design and planning services only. We do not provide construction, installation, or implementation services.

Service Scope

Our services are limited to design and planning. We do not guarantee:

• Construction or installation outcomes
• System performance after implementation
• Environmental or sustainability results
• Emergency or repair services

Client Responsibilities

Clients are responsible for:

• Providing accurate site information and requirements
• Obtaining necessary permits and approvals
• Hiring qualified contractors for implementation
• Ensuring compliance with local codes and regulations

Intellectual Property

All design documents, plans, and specifications created by Shomxelliphax remain our intellectual property. Clients receive usage rights for the specific project for which designs were created.

Payment Terms

Payment terms will be specified in individual service agreements. Payment is required according to the agreed schedule.

Limitation of Liability

Shomxelliphax's liability is limited to the fees paid for our services. We are not liable for:

• Implementation costs or outcomes
• Damages resulting from contractor work
• System failures or malfunctions
• Indirect or consequential damages

Modifications to Services

We reserve the right to modify or discontinue services at any time. We will provide reasonable notice of significant changes.

Termination

Either party may terminate services with written notice. Payment obligations for completed work remain in effect.

Warranties and Disclaimers

We warrant that our design services will be performed in a professional and workmanlike manner consistent with industry standards. However, we make no warranties, express or implied, regarding:

• The suitability of designs for specific implementation methods or contractors
• Performance outcomes after system implementation
• Compliance with all local codes and regulations (client responsibility to verify)
• Uninterrupted or error-free service

All designs are provided "as is" without warranty of any kind, except as expressly stated in individual service agreements.

Indemnification

Clients agree to indemnify and hold Shomxelliphax harmless from any claims, damages, losses, or expenses arising from:

• Implementation of designs by third-party contractors
• Modifications to designs without our approval
• Use of designs outside the scope of the original project
• Failure to obtain necessary permits or approvals
• Violation of applicable laws or regulations

Confidentiality

We maintain confidentiality regarding client information and project details. We will not disclose confidential information to third parties without client consent, except as required by law or as necessary to provide services.

Clients are expected to maintain confidentiality regarding our proprietary design methods, pricing structures, and business processes disclosed during the course of service provision.

Governing Law

These terms are governed by the laws of the State of Oregon, United States, without regard to conflict of law principles.

Any disputes arising from these terms or our services shall be subject to the exclusive jurisdiction of the courts located in Tualatin, Oregon, or as otherwise agreed in writing.

In the event of any legal proceeding, the prevailing party shall be entitled to recover reasonable attorney's fees and costs.

Severability

If any provision of these Terms of Service is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.

Entire Agreement

These Terms of Service, together with any individual service agreements, constitute the entire agreement between you and Shomxelliphax regarding the subject matter hereof. These terms supersede all prior or contemporaneous communications, proposals, and agreements.

Any modifications to these terms must be made in writing and signed by both parties, except as otherwise provided in these terms.
